Please find below our terms of use for both the website (used products) and our online store (new products). All transactions are subject to your acceptance of our General terms and conditions, and in addition items purchased through our online store are also subject to our Store terms and conditions.

General and Used Marketplace Terms and Conditions

1. Introduction

www.dreamscience.eu/lab, www.dreamscience-lab.co.uk and www.dreamscience-medical.co.uk will be referred to as "The Website".

Here-in are the terms and conditions (the "TOCs") applicable to the System provided (the "System") for the use of, the Website. Please note that if you use and/or purchase from other Websites in the dreamscience group, then you agree to these TOC's in addition to those specific to the other Websites.

By accessing the Website, using the System by registering as either a buyer or a seller (a "User") regardless of your geographical location, you agree that you have read these TOCs, understand them and are bound by these TOCs

The System on the Website enable Users to;
A. place bids in Online Events ("Sales"), where each event represents a group of items with a related end date
B. consign items into an Online Sale conducted on behalf of numerous sellers ("MultiSale")
C. place offers on items via a sealed bid procedure ("Sealed Bids") or via a negotiated sale procedure ("Negotiated Sales")
D. do other things - please see sales specific TOCs

"Online Transactions" is the term used to refer collectively to Online Sales, Sealed Bids, Negotiated Sales and Multisales. These TOCs, along with any additional TOCs specific to a particular Online Transaction, can be found under "Sale-Specific Terms and Conditions" in the Notice to Users for each sale event

2. Online Events Participation

A. The Website and System may only be used by businesses for commercial on-line transactions only.
B. If you wish to sell your goods in an Online Transaction, please contact dreamscience via our websites or telephone +44 1482 807741.
C. If you wish to buy goods in an online transaction, you must first register with dreamscience before any bids or offers can be submitted.
D. The registration form for Users, whether as a buyer or seller, is available on the Website. Users hereby warrant that all information provided to dreamscience is accurate and complete, and agree to immediately inform dreamscience of any changes to their details that occur during their use of the Website and System.
At registration, you must provide your name, phone number, e-mail address and the name and address of the business you are acting for. E. dreamscience reserves the right to reject any registration in its sole discretion.
F. By registering, the User agrees that it is itself a business, or is acting on behalf of a business. Also, that they have provided as part of their registration, the correct information about said business, the details of which they will endeavour to keep updated.
G. Users accounts are allocated an account name and password upon registration. The User is responsible for all actions taken under their account name and password. Users shall only use the Website using their own account name and password, and shall not disclose their password or account details to any other party or let others use it.
H. dreamscience may exclude any User from any Online Transaction and stop any registration if the User has breached or threatens to breach these Terms and Conditions

3. Notices

All notices given under these TOCs shall be given in writing, in English and shall be served by hand delivery or via prepaid recorded and/or special delivery post or prepaid international recorded airmail (eg Airsure) to; dreamscience group, 122 Chanterlands Ave, Hull, HU5 3TS, UK, Fax: +44 (0) 1782 409682

Any such notice shall be deemed to have been received:
A. If hand delivered or sent by prepaid recorded or special delivery post.
B. If sent by post, two days from the date of posting within the UK.
C. If sent by airmail, seven days from the date of posting.
D. If sent by FAX, at the time of transmission.
Public holidays and non- business days are not included in the days listed above.

Notices to Users from dreamscience may be sent to the email address provided to dreamscience at registration. Receipt of which is deemed 24 hours after an email is sent, unless dreamsciece receives notice that the email address is invalid.

4. Online sales and Conditions

The following terms and conditions apply to online sales in addition to dreamscience General TOCs.
A. Buyers are required to register separately for each online sale. Successful registration for one online sale does not guarantee registration for another. dreamscience reserves the right to refuse to register any person for any online sale.
B. Each online sale is subject to specific terms and conditions, however, should there be a conflict with these TOCs conditions, the online sale terms and conditions shall prevail unless specifically stated otherwise.
C. dreamscience cannot and does not guarantee that bids placed via the internet will be received for the online sale in a timely manner. In addition, dreamscience have the sole discretion to accept or refuse any offer or bid.
D. All bids must be submitted in the currency indicated in the Notice to Users for the lot/item in question. All bids and offers are exclusive of all applicable taxes, registration fees, shipping, preparation and transportation costs and insurance.
E. All buyers placing winning online bids will be notified by email.

5. VAT or other taxes

A. All prices given on the Website or agreed upon in an Online Transaction are stated exclusive of value added tax (VAT) or any other applicable sales tax.
B. Buyers in Online Transactions shall be responsible for paying any VAT or other taxes which may be due on amounts owed by the buyers under these Terms and Conditions at the rates that are correct on the date that the contract of sale is concluded.
C. For goods to be exported, tax refunds or zero rate tax may apply. Tax refunds will be made, where applicable, subject to receipt of satisfactory proof of export by the buyer and the corresponding amount owed.

6. User Information, Data Protection and Trademark / Copyright

A. Users grant dreamscience, and where applicable, Associated Auctioneers / Resellers on registration, a non-exclusive, world-wide, irrevocable and royalty-free, sublicensable licence to exercise the trade mark, copyright and database rights the User has whether now known or not currently known in order to provide the System.
B. Users undertake that information concerning other Users and their contractors, employees or agents obtained through the Website shall not be used for sending unsolicited commercial messages or for any other purpose other than participation in Online Transactions or use of the Website.
C. dreamscience shall transmit all information in connection with user registration, listing of products, submission and acceptance of bids to other Users in any geographic location, in the form and to the extent suitable, for the execution of an Online Transaction. Transmission, usage and storage of said data, required for the execution of Online Transactions, is described in the dreamscience Privacy Policy.
D. Users agree that they will only use such information in accordance with applicable laws and regulations, including, and without limitation, data protection and privacy laws.

7. Use of the Website and dreamscience System

Users are expressly forbidden from any form of bid manipulation, including collusion or bidding on items that they themselves or a party associated with them are selling in an Online Sale, online Auction or Multisale.

dreamscience grants a limited, non-transferable licence to each User to access and use the Website for the purposes of use or evaluation in accordance with the TOCs but not to download or modify the Website, or any section of the Website.

This licence expressly excludes
A. Any resale or commercial use of the Website and the System, modifying, distributing, copying, republishing or making any derivative use of the Website or the System
B. The collection and use of other Users e-mail addresses, other information or listing, or any data extraction. Note: the Users shall be entitled to download documents and forms including Notices to Purchasers and/or sales brochures for their own internal use.
C. Users must not use the Website or System in a way that is likely to cause or may cause the Website or System to be interrupted, damaged or impaired.
D. Users agree to comply with all applicable import and export control regulations and laws, and not to violate any applicable local, national or international law, statute or regulation.
E. dreamscience reserves the right to cancel any sale in an Online Transaction at any time if it determines, in its absolute discretion, that the sale does or may violate applicable export or import control or related laws and regulations.
F. Users are responsible for all communications and content sent from them to dreamscience and must use the Website for lawful purposes only.

Participants must not use the Website for any of the following listed below:
A. Fraudulent purposes, or any other unlawful activity.
B. To send, use or re-use any material that is illegal, abusive, offensive, defamatory or obscene; or in breach of any law or third party rights.
c. To send, material that contains software viruses, political campaigning, chain letters, commercial solicitation, or spam (mass mailing).
D. To offer, sell or buy any items which are illegal or infringe any third party rights (including intellectual property rights).

8. Limits and Liability

A. dreamscience shall not be liable in any way for breach of statutory duty or loss incurred by a User, arising out of or in connection with the use, or inability to use, the Website or System, or any other matter under these TOCs.
B. In the case of a buyer, the combined liability of dreamscience in respect of any loss or damage suffered by a buyer, shall not exceed the amount paid in the online transaction for the goods which are the subject of the claim.
C. Nothing in this clause shall limit or exclude liability for death or personal injury resulting from the negligence of dreamscience or its employees or agents.
D. dreamscience shall not be a party to any Online Transaction and accordingly no dreamscience Company shall have any obligations nor any liability (whether in contract, tort or otherwise) in any way whatsoever to Users in relation to such an Online Transaction.

9. Indemnities

Each User agrees to indemnify and hold dreamscience, its parent companies, subsidiaries and affiliates and their respective officers, directors, agents, partners and employees (the "dreamscience Parties") harmless from and against all losses, damages, costs, claims and expenses (including consequential losses or loss of profit), legal costs and related expenses and VAT or equivalents or other taxes and liabilities suffered or incurred directly or indirectly by the dreamscience Parties arising from or related to:
A. Any misrepresentation made by the User in connection with these TOCs, in connection with any Online Transaction.
B. The use by the User of the Website or the System.
C. Any breach, non-performance or non-observance by the User of the obligations, warranties, representations and undertakings on the part of the User contained in these TOCs or contained in the sale specific additional TOCs relevant to the Online Transaction in question.
D. Any breach of a third party's rights arising out of, or in connection with any of the dreamscience Parties use of any information or intellectual property in anything provided by the User.
E. The User's breach or the User causing a breach by any of the dreamscience Parties of any legislation or law applying anywhere in the world.
F. Accident, injury or death howsoever arising, sustained by any person / persons who may attend at any premises for the purpose of an Online Transaction, inspection, purchase, collection or any other business.

10. Third Party Rights

A person who is not a party to these Terms and Conditions has no right under the Contracts (Rights of Third Parties) Act 1999 or otherwise to enforce any term of these Terms and Conditions.

11. Force Majeure

dreamscience will not be liable for any delay or failure to comply with its obligations under these TOCs if such delay or failure results from circumstances beyond its control.

12. Miscellaneous

A. These Terms and Conditions may be amended at any time by the sole discretion of dreamscience. Use of the System and the Website constitutes acceptance of these Terms and Conditions, including any amendments - these should be checked regularly. Should any item of these Terms and Conditions be or become fully or partially invalid or illegal, the remainder of these Terms and Conditions shall continue in full force and effect.
B. dreamscience failure to enforce the terms here at any time will not be deemed to be a waiver of dreamscience rights and in no way affects the validity of the whole or any part of these Terms and Conditions nor affects dreamscience rights to take subsequent action.
C. dreamscience may, at its discretion, charge a buyer's fee ("Buyer's Fee") or other service charges on items sold including any VAT or other taxes. If charged, the Buyer's Fee shall be collected directly from each successful buyer, in addition to the purchase price.
D. dreamscience reserves the right to charge a non-refundable registration fee to buyers who bid electronically at a online Sale.

13. Termination

dreamscience may terminate these TOCs in it's sole discretion with respect to a User (without prejudice to its other rights and remedies) and may deny access to the System immediately without notice for any breach of these TOCs by that Participant without any liability for dreamscience except in case of past transactions already completed.

14. Choice of Law for this agreement

A. dreamscience would not permit the User to register as buyer or seller should the terms of this clause 14 not be valid, binding and enforceable.
B. All disputes between users and dreamscience, in relation to these TOCs, shall be governed exclusively by English Law and interpereted in accordance with English Law.
C. Nothing contained in these TOCs shall affect the right to serve process in any other manner permitted by the laws of the country in which service is to be effected.

1 DEFINITIONS

In this document the following words shall have the following meanings:

1.1 "Buyer" means the person who buys Goods from the Seller;
1.2 "Consumer" shall have the meaning ascribed in section 12 of the Unfair Contract Terms Act 1977;
1.3 "Goods" means the articles that the Buyer agrees to buy from the Seller;
1.4 "List Price" means the list of prices of the Goods maintained by the Seller as amended from time to time;
1.5 "Seller" means dreamscience Ltd of Thames Valley Lubricants Estate, Garner Street, Stoke on Trent, Staffordshire, United Kingdom.
1.6 "Terms and Conditions" means the terms and conditions of sale set out in this document and any special terms and conditions agreed in writing by the Seller.

2 GENERAL

2.1 These Terms and Conditions shall apply to all contracts for the sale of Goods by the Seller to the Buyer and shall prevail over any other documentation or communication from the Buyer.
2.2 All orders for Goods shall be deemed to be an offer by the Buyer to purchase Goods pursuant to these Terms and Conditions and are subject to acceptance by the Seller. The Seller may choose not to accept an order for any reason.
2.3 Acceptance of delivery of the Goods shall be deemed conclusive evidence of the Buyer's acceptance of these Terms and Conditions.
2.4 Any variation to these Terms and Conditions shall be inapplicable unless agreed in writing by the Seller.
2.5 Nothing in these Terms and Conditions shall affect the Buyer's statutory rights as a Consumer.

3 PRICE AND PAYMENT

3.1 The price of the Goods shall be that stipulated in the Seller's Quotation at the date of order or as agreed between the parties. The final purchase price is inclusive of VAT and also inclusive of any delivery charges.
3.2 Payment of the total purchase price (including VAT and any delivery charges) must be made in full before dispatch of the Goods.
3.3 Website prices are exclusive of VAT and delivery unless otherwise stated.
3.4 Quotations are valid on the day of issue and a sale is only initiated on receipt of cleared funds.
3.5 Data dumps, download or reproduction of website material does not constitute a quotation.

4 DELIVERY

4.1 Delivery of the Goods shall be made by the Seller notifying the Buyer that the Goods are available for collection at the Seller's premises or for delivery to such place and on such terms as agreed between the Seller and the Buyer at the time the order is placed.
4.2 All Goods, wherever possible, will be delivered within 3-7 working days of the order being paid for and the Buyer shall make all arrangements necessary to take delivery of the Goods whenever they are tendered for delivery.
4.3 The Seller shall use its reasonable endeavours to meet any date stated for delivery. In any event time of delivery shall not be of the essence and the Seller shall not be liable for any losses, costs, damages or expenses incurred by the Buyer or any third party arising directly or indirectly out of any failure to meet any estimated delivery date.
4.4 Some Goods may not be in stock at the time the order is placed. In the event that the Seller is unable to deliver the Goods within the time specified in Clause 4.2, the Seller will contact the Buyer to advise of the situation and the Buyer shall be entitled to cancel the order and receive a full refund or agree a later delivery date.
4.5 Title and risk in the Goods shall pass to the Buyer upon delivery of the Goods.

5 WARRANTY

5.1 The Seller warrants that the Goods will at the time of delivery correspond to the description given by the Seller.
5.2 The Seller offers used and refurbished goods on a sold-as-seen basis unless otherwise stated.
5.3 When specified in the quotation or invoice, the Seller offers a 30 day guaranty on used and refurbished goods covering major failures whereby a refund can be given. The seller reserves the right to levy a restocking and or refurbishment charge on goods returned within the above 30 day period.

6 CANCELLATION AND RETURNS

6.1 The Buyer shall inspect the Goods immediately upon receipt and shall notify the Seller within 3 working days of delivery if the Goods are damaged or do not comply with any of the Contract.
6.2 Where a claim of defect or damage is made then it shall be the responsibility of the Buyer to return faulty Goods to the Seller and the Buyer shall be entitled to replacement Goods or a full refund (including delivery costs, if applicable) plus any return postal charges if the Goods are in fact defective. Please see section 5 for used and refurbished goods.
6.3 To return a product please request an RMA number via our contact us page on our website. Clearly state your reason for return, and an RMA number will be emailed to you if your return request is accepted.
6.4 Goods to be returned must clearly show the order number obtained from the Seller and the RMA number received as per clause 6.3.
6.5 Where returned Goods are found to be damaged due to the Buyer's fault the Buyer will be liable for the cost of remedying such damage.
6.6 Where Goods are purchased via the internet, by mail order or by phone or fax, the Buyer has the right, in addition to any other rights, to cancel the Goods and receive a refund by informing the Seller in writing or by email within 7 working days of receipt of the Goods. Goods must be returned at the Buyer's cost and should be adequately insured during the return journey. The Buyer shall receive a refund of all monies paid for the Goods (excluding delivery charges, if any) except for return postal charges within 30 days of cancellation.
6.7 Any product which is defined as "Software Only" is non-refundable.

7 GUARANTEES

In addition to the Buyer's statutory rights, the Seller guarantees all Goods against faulty workmanship and materials for a reasonable period from the date of delivery as specified by the individual items manufacturers warranty. This guarantee only applies to the original Buyer as stated on the related invoice.

8 LIMITATION OF LIABILITY

8.1 Nothing in these Terms and Conditions shall exclude or limit the liability of the Seller for death or personal injury, however the Seller shall not be liable for any direct loss or damage suffered by the Buyer howsoever caused, as a result of any negligence, breach of contract or otherwise in excess of the price of the Goods.
8.2 The Seller shall not be liable under any circumstances to the Buyer or any third party for any indirect or consequential loss of profit, consequential or other economic loss suffered by the Buyer howsoever caused, as a result of any negligence, breach of contract, misrepresentation or otherwise.

9 FORCE MAJEURE

Neither party shall be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, and the party shall be entitled to a reasonable extension of its obligations.

10 SEVERANCE

If any term or provision of these Terms and Conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these Terms and Conditions had been agreed with the invalid, illegal or unenforceable provision eliminated.

11 GOVERNING LAW AND JURISDICTION

These Terms and Conditions shall be governed by and construed in accordance with the law of England and the parties hereby submit to the exclusive jurisdiction of the English courts.
